Quoted Prices
Prices are quoted in US dollars and do not include any sales taxes, use taxes or any other taxes, levies or duties. Any taxes, levies or duties will be the responsibility of the purchaser.
Expiration of Quotation
This quotation expires 90 days from the date issued.
Payment
Payment is due within 30 days after delivery of products or services. A 5% late fee will be assessed after the due date and each month the balance remains unpaid.
Instrument Installation and Training
Installation and on-site training are included in the quoted price for all instruments purchased from QuantaCyte, unless otherwise specified.
Shipment
Products purchased from QuantaCyte are shipped FOB Mullica Hill, NJ, USA, or Münster, Germany within ninety (90) days after the purchase order is received. Charges for shipping, handling, freight and insurance will be billed to the purchaser on the final invoice.
Title of Ownership
Title of ownership of instrument(s) will transfer to the purchaser when QuantaCyte releases them to a freight forwarder.
WARRANTY
QuantaCyte warrants to the original purchaser only that its instruments will be free from defects in material and workmanship for a period of one (1) year from the date of installation. This warranty covers all parts and labor as well as any reasonable shipping or travel costs incurred by QuantaCyte. All purchased parts or upgrade components will be warranted for both parts and labor for a period of ninety (90) days from the date of installation by authorized QuantaCyte personnel or for the remaining warranty period of the instrument, whichever is longer. This warranty does not cover damages caused by misuse or improper handling or storage of the instrument, or by damages caused by service personnel not authorized by QuantaCyte, or to damages caused by modification of the instrument not authorized by QuantaCyte. If a warranty service call is made at the request of the purchaser and it is determined by QuantaCyte that the defect is due to causes not covered by this warranty, the purchaser shall pay for the service call including any parts, labor, reasonable travel and other expenses incurred by QuantaCyte. In any event, QuantaCyte shall have the sole discretion for determining the cause and nature of the defect or failure and shall retain the unqualified option of replacing any portion of or the entire instrument. QuantaCyte liability is limited to the replacement of the product and QuantaCyte is not responsible for any damages resulting from the failure of any product. This warranty is exclusive and is in lieu of all other warranties, whether written, oral or implied and shall be the purchaser’s sole remedy as well as QuantaCyte’s sole liability for the product. QuantaCyte disclaims any implied warranty of merchantability or fitness of purpose. In no event shall QuantaCyte be liable for any incidental or consequential damages arising out of or in connection with the use or performance of any of the goods delivered hereunder.
